GENERAL TERMS & CONDITIONS OF TRADE
1. Definitions
In these Conditions:
“Company” means Skoulikas Bedford Ltd.
“Customer” means the person, firm or company purchasing Goods.
“Goods” means all products supplied by the Company.
“Contract” means any agreement for the sale of Goods incorporating these Conditions.
2. Application of Terms
2.1 These Conditions apply to all sales of Goods by the Company and shall prevail over any terms submitted by the Customer.
2.2 No variation shall be binding unless agreed in writing by an authorised representative of the Company.
3. Orders
3.1 All orders are subject to acceptance by the Company.
3.2 The Company reserves the right to refuse or cancel any order.
3.3 Once accepted, orders may not be cancelled or varied without the Company’s written consent.
4. Price
4.1 Prices are as quoted and may be subject to change prior to order acceptance.
4.2 Unless otherwise stated:
- Prices are exclusive of VAT and other applicable taxes
- Delivery charges may apply
4.3 The Company reserves the right to adjust prices due to:
- Currency fluctuations
- Supplier price increases
- Changes in duties, tariffs or regulatory costs
5. Payment Terms
5.1 Payment terms are as agreed in writing (typically 30 days from invoice date unless otherwise stated).
5.2 Time for payment shall be of the essence.
5.3 The Company reserves the right to:
- Charge interest on overdue amounts at 4% above Bank of England base rate
- Suspend deliveries or cancel contracts in case of late payment
5.4 The Customer shall not be entitled to withhold payment or set off any claim unless agreed in writing.
6. Delivery
6.1 Delivery dates are estimates only and not guaranteed.
6.2 The Company shall not be liable for delays caused by:
- Supply chain disruption
- Import/export delays
- Transport issues
- Events beyond reasonable control
6.3 Risk in the Goods passes to the Customer on delivery.
6.4 The Customer must:
- Inspect Goods upon delivery
- Notify shortages or damage within 48 hours
7. Export and EU Trade
7.1 The Customer is responsible for compliance with all applicable import regulations in the destination country.
7.2 Where Goods are supplied for export:
- The Customer shall be responsible for any duties, taxes, or customs requirements unless otherwise agreed
- The Company may require additional documentation or payment in advance
7.3 The Customer shall ensure compliance with all applicable UK and EU laws regarding the sale, labelling, and use of the Goods.
8. Retention of Title
8.1 Ownership of the Goods shall not pass until full payment has been received.
8.2 Until ownership passes:
- The Customer shall store Goods separately and clearly identified
- The Company may repossess Goods if payment is overdue
8.3 The Customer grants the Company the right to enter premises to recover Goods where necessary.
9. Quality and Claims
9.1 The Company warrants that Goods will:
- Conform to their specification
- Be of satisfactory quality (within normal commercial tolerances)
9.2 The Customer must notify the Company of:
- Defects within 5 days of delivery
- Hidden defects within a reasonable time
9.3 The Company’s liability is limited to:
- Replacement of Goods
- Refund of the purchase price
10. Liability
10.1 The Company shall not be liable for:
- Indirect or consequential losses
- Loss of profit or business
- Loss arising from misuse or improper storage
10.2 Nothing in these Conditions excludes liability for:
- Death or personal injury caused by negligence
- Fraud
10.3 The Company’s total liability shall not exceed the value of the Goods supplied.
11. Force Majeure
The Company shall not be liable for failure or delay due to events beyond its reasonable control, including:
- Supplier failure
- Transportation disruption
- Government restrictions
- War, strikes, or pandemics
12. Storage and Shelf Life
12.1 The Customer is responsible for storing Goods in accordance with:
- Food safety regulations
- Manufacturer guidelines
12.2 The Company accepts no liability for deterioration due to improper storage.
13. Product Information
13.1 All product descriptions, specifications and images are for guidance only.
13.2 The Customer is responsible for ensuring Goods are suitable for their intended use.
14. Insolvency
The Company may terminate any Contract immediately if the Customer:
- Becomes insolvent
- Enters liquidation or administration
- Fails to meet payment obligations
15. Data Protection
The Company will process personal data in accordance with applicable data protection laws, including the UK GDPR.
16. Governing Law
These Conditions shall be governed by and construed in accordance with the laws of England and Wales.
17. Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction.
